"I'll send over the data room." When an investor hears this, they expect a highly organized, permissioned repository containing all necessary diligence materials, instantly accessible. If they open a messy, unstructured folder, they assume your business operations are equally disorganized.
Why Structure Matters
Time kills all deals. During a fundraise, momentum is your only leverage. If an associate has to email you to ask where the historical P&L is, or if the cap table is a broken PDF instead of a live spreadsheet, you introduce friction. Friction extends the timeline, and extended timelines allow doubt to creep in.

Common Data Room Mistakes
1. Missing IP Assignments
If a co-founder or early contractor hasn't signed an IP assignment agreement transferring their code/work to the Delaware C-Corp, the company doesn't own its product. This will halt a deal immediately.
2. Hardcoded Financial Models
Do not upload a PDF of your financials or an Excel sheet with hardcoded values instead of formulas. Associates need to play with the assumptions (growth rate, churn) to stress-test your model.
3. "Data Dumping"
Including every single NDA or minor contractor agreement creates noise. Summarize minor contracts in a schedule and only include material agreements in the data room.
